This folder holds everything that keeps Confluxion Point running as a business: legal setup, bookkeeping, insurance, contributions, mileage. Sales pitches, positioning, and client docs live in the other six folders.


What's here

  1. Firm Setup Checklist — the "what's left to file / sign / open" list. LLC, Operating Agreement, insurance, bank account, Wave. Tick items as they're done; we revisit this before any new client engagement.

  2. Legal & Insurance Templates — pointers to the MSA, SOW, founder IP + vesting template, and quote links for Hiscox and NEXT. Not the signed docs themselves — those live in a separate "Signed Agreements" folder once executed.

  3. Bookkeeping & Finance — Wave setup notes, chart of accounts conventions, expense categorization rules, year-end checklist.

  4. Capital Contribution Log (Google Sheet) — every dollar Addison or Sam puts in personally for the business (domains, software subscriptions, equipment, etc.). Counts toward basis in the LLC. Reimbursed once the business bank account is funded.

  5. Capital Contribution Log — How To Use — the instruction sheet for #4. Read this first if you're adding an entry.

  6. Mileage Log (Google Sheet) — drives logged for LLC reimbursement at the IRS business rate (2026: 72.5¢/mi). Same accountable-plan logic as the capital log.


Workflow

Adding an expense or drive (in chat with Claude): tell Claude what you bought / where you drove. Claude updates the local CSV mirror and gives you the exact row to paste into the live sheet. Local mirrors at ~/Desktop/Confluxion Point/internal/.

Reimbursing yourself: once the LLC bank account is open, transfer the totals from the sheets back to your personal account. Reference the row IDs in the memo. This keeps the contributions as non-taxable accountable-plan reimbursements rather than guaranteed payments.

End of year: hand the accountant: capital log, mileage log, Wave export, signed agreements. Done.
