# Firm Setup Checklist _Lives in: 07 — Firm Operations_ The legal, financial, and operational items needed to run Confluxion Point as a proper firm — not just a side project. Mark each as Done / In progress / Not started. --- ## Legal structure - [ ] **LLC formed in Utah** — filed Articles of Organization with UT Division of Corporations - [ ] **EIN obtained** — IRS form SS-4 - [ ] **Operating Agreement signed** — multi-member 50/50 (Addison + Sam). See `Legal & Insurance Templates`. - [ ] **Founder IP assignment + vesting agreement signed** — protects against either cofounder walking with code/IP. Template from Promise Legal (free). - [ ] **Registered agent** — either Addison's address or a service like Northwest ($125/yr) ## Bank + accounting - [ ] **Business checking account** opened (Chase, Mercury, Relay — pick one) - [ ] **Business credit card** issued (for clean separation of spend) - [ ] **Wave** set up for free bookkeeping. See `Bookkeeping & Finance`. - [ ] **Capital contribution log** uploaded to Drive and shared. See `Capital Contribution Log`. ## Legal templates ready - [ ] **MSA (Master Services Agreement)** template — from LegalContractsOnline + Utah lawyer review (~$300–500 total) - [ ] **SOW (Statement of Work)** template — same shop, lawyer-reviewed - [ ] **NDA** template — for prospects who want one before disclosing systems - [ ] **Counter-NDA** template — for prospects who ask us to sign theirs (we say yes by default; need a redline-ready version) ## Insurance - [ ] **E&O (Errors & Omissions)** — $1M coverage minimum. Hiscox or NEXT. ~$60–120/mo for our size. - [ ] **General Liability** — $1M coverage. Same providers usually bundle with E&O. ~$30–50/mo. - [ ] **Cyber liability** — optional but recommended once we're handling client credentials. ~$30–60/mo extra. - [ ] **Workers' comp** — only required if/when we hire W-2 employees.
